Crowdfunding regulation in Brazil


Bruno Fernandes Dias and Rafael Gaia Edais Pepe examined the legal aspects of the regulation of crowdfunding in Brazil. Itself an innovative financing technique for economic activities, crowdfunding has been gaining ground among entrepreneurs of different segments. In a collective book under the coordination of Leonardo Coelho, Rafael Véras and Bruno Feigelson, the authors explain what crowdfunding is; how did this financing technique come about;  what purposes it serves; how is the fundraising process; and how this procedure is controlled from a technological point of view. Several regulatory domains influence this sort of collective investment, including civil, tax and corporate law, as well as capital markets. A critical reflection on the adequacy of the Brazilian regulation on this matter is given, encompassing incentives and disincentives to entrepreneurs and investors.
